We engage in long-term value-added relationships with our clients, providing practical advice on routine issues, while preparing our clients for big events, such as mergers, acquisitions and strategic business transactions.  Our target clients include entrepreneurial middle market companies without in-house legal staff, where we serve the role of advising companies regarding their on-going legal needs and strategies (see Outside/Outsourced General Counsel Services).  We also work directly with in-house legal departments at larger companies where we advise in-house clients and their internal clients on a project basis (see Outside Corporate Counsel Services).

Representative services:

    • Provide outside general counsel or corporate counsel type services for clients with limited or no internal legal departments.
    • Advise sports and motorsports owners, participants, sponsors, sanctioning bodies, facilities and stakeholders regarding corporate, contractual, regulatory and transactional matters.
    • Advise, negotiate and document asset purchases and dispositions, as well as mergers and acquisitions.
    • Negotiate, draft and review of commercial contracts.
    • Advise banks, financial institutions and their holding companies regarding regulatory, corporate and transactional matters.
    • Advise and implement corporate governance strategies.
    • Advise and implement entity selection and formation.
    • Advise, negotiate and document lending transactions.
    • Identify and negotiate economic development incentives.
    • Identify and protect intellectual property rights.

We offer these services on an hourly basis, or through alternative approaches such as fixed monthly retainers and flat fee/project-based fees.  Our goal in structuring all of our fee arrangements is to provide value-added legal services, while staying within the budgetary expectations of our clients.
