On December 3, 2024, U.S. District Judge Amos L. Mazzant III issued a nationwide injunction blocking enforcement of the CTA reporting requirements (as outlined in our recent Client Update – see https://www.kellermacaluso.com/home/newsandevents/104-important-client-update-corporate-transparency-act-compliance-deadline-approaching ). For more information on Judge Mazzant’s ruling, see: US-DIS-TXED-4-24cv478-d103766976e2849-MEMORANDUM-OPINION-AND-ORDER.pdf.
The ruling temporarily halts CTA compliance and reporting obligations. Entities previously subject to the January 1, 2025 reporting deadline under the CTA should monitor further legal developments and regulatory updates. For now, enforcement of these requirements has been paused pending further developments in the case.
We advise that reporting companies that have not yet filed their beneficial ownership reports be prepared to do so in advance of the January 1, 2025 deadline in the event the injunction is lifted.
